ETH STRATEGY VAULT EVENT TERMS

Effective Date: January 30, 2025

These Vault Event Terms ("Terms") govern participation in vault events offered by ETH Strategy Labs, Inc. ("Company," "we," "us," or "our") in connection with the ETH Strategy protocol ("ETH Strategy") and the ETHSR token ("ETHSR"). By participating in any vault event, you ("Participant," "you," or "your") agree to these Terms.

1. PARTICIPATION REQUIREMENTS

1.1 Eligibility: You must be at least 18 years old and comply with all applicable laws and regulations in your jurisdiction. Participation is void where prohibited.

1.2 Wallet Requirements: Participation requires a compatible Ethereum wallet. You are responsible for securing your wallet and private keys.

1.3 No U.S. Participation: Individuals or entities in the United States, or accessing from the U.S., are not permitted to participate in vault events.

You agree and acknowledge that your IP Address will be screened and excluded from participation in the whitelisted vault participation event if the Director’s geo-location controls detect that you may be located in a (a) Sanctioned Jurisdiction; (b) jurisdiction subject to heightened sanctions risks identified or enforced by certain countries, governments, or international authorities; or (c) jurisdiction otherwise considered high risk with respect to the whitelisted vault participation event or otherwise, including, but not limited to the United States, Cuba, Iran, Democratic People’s Republic of Korea, Syria, and certain Russian-occupied regions of Ukraine (collectively, “Prohibited Jurisdictions”). You agree and understand that the Prohibited Jurisdictions are subject to change without notice.

2. VAULT EVENT MECHANICS

2.1 Deposit & Rewards: Participants may deposit assets into designated vaults within ETH Strategy. Vaults may distribute ETHSR or other rewards according to event-specific mechanics.

2.2 Duration & Modifications: Vault events have specified durations. The Company reserves the right to modify, suspend, or terminate events at its discretion.

2.3 No Guarantees: Returns and rewards are not guaranteed. Vault participation involves risks, including potential loss of deposited assets. You should not deposit more than you are comfortable losing. Cryptocurrency markets are highly volatile, and participants should make decisions based on their own risk tolerance and research.

3. ETHSR TOKEN TERMS

3.1 Non-Security Representation: ETHSR is not intended to be a security, and participation in vault events does not constitute an investment in the Company.

3.2 Non-Transferability & Trading Delay: ETHSR earned through vault events may be subject to transfer restrictions until further notice. Trading will not be enabled immediately for ETHSR tokens.

3.3 Market Risks: No one can predict how ETHSR will be valued or traded in the market. Participants should have realistic expectations and assess the risks accordingly.

4. RISKS AND DISCLAIMERS

4.1 Assumption of Risk: By participating, you acknowledge and accept risks inherent in decentralized finance (DeFi), including but not limited to smart contract vulnerabilities, market volatility, and regulatory uncertainty.

4.2 No Liability: The Company is not liable for losses or damages arising from participation, including losses due to contract exploits, third-party actions, or unforeseen circumstances.

4.3 No Advice: Nothing in these Terms constitutes financial, legal, or tax advice.

5. GENERAL TERMS

5.1 Modification of Terms: We reserve the right to amend these Terms at any time. Continued participation constitutes acceptance of updated Terms.

5.2 Governing Law: These Terms shall be governed by and construed under the laws of the United States.

5.3 Severability: If any provision is deemed unenforceable, the remaining provisions shall remain in full effect.

By participating in an ETH Strategy vault event, you confirm that you have read, understood, and agreed to these Terms.
